    Notes: Corporate governance crisis and reform is essentially cyclical. Waves of corporate governance reform and increased regulation occur during periods of recession, corporate collapse and re-examination of the viability of regulatory systems. During long periods of expansion, active interest in the conformance aspects of governance diminishes, as companies and shareholders become again more concerned with the generation of wealth, rather than in ensuring governance mechanisms are working appropriately for the retention of wealth, and its use for agreed purposes. This cyclical historical saga revolves around the enduring agency and stewardship dilemmas of governance. Complacency concerning corporate governance during confident times compounds ensuing crises. Such dilemmas are universal in market systems, though internationally with different systems of corporate governance the unwinding of this saga has occurred at different times, for different reasons, and with different consequences. Corporate governance is about wealth generation and risk management, and these duties require continuous and simultaneous performance. Avoiding mandatory restrictive over-regulation requires active market regulation, particularly at times of expansion. The drive to make corporate governance both improve corporate performance and enhance corporate accountability will continue.

    Notes: Knowledge is increasingly recognized as the key resource of business. Digital networks provide access to vast amounts of data and information but knowledge management tools and systems are required to translate this in a meaningful way. Knowledge management initiatives are unlikely to be successful unless they are integrated with business strategy, and related to the development of the core capabilities of the organisation. Sharing the discovery and synthesis of intellectual activity involves the creation of knowledge communities of practice. There is much evidence of commercially inspired corporate initiatives in this direction across all industrial sectors: leveraging existing intellectual capital; sharing best practice across multiple locations; data mining to build customer relationships; and creating knowledge networks to allow state–of–the–art solutions in professional services.

    Notes: The paper conducts a critical review of the problems faced by middle to first-line managers in managing R&D in Canadian government laboratories. The data come from the published literature, interviews with R&D managers, and information obtained from government employees undergoing training as R&D managers.The problems are numerous and serious. They arise from a multiplicity of causes related to underfunding and bureaucratic management practices that do not allow for the special nature of R&D. Hiring freezes, staff reductions, travel restrictions and reductions in training budgets are all consequences of underfunding, resulting in an aging workforce and technological obsolescence. Bureaucratic administration rules set by central agencies constrain the freedom of R&D managers to manage effectively, and limit low-level participation in policy-making and planning. The result is that too many management posts are filled by under-achieving scientists and engineers, with resultant consequences for originality and efficiency.The authors believe that the only cure is to undertake proper funding, recognise the special operational needs of R&D management, and select managers for managerial ability in addition to technical competence.

    Notes: The influence of morphological transitions on the hydrogen-bonding behavior of polyurethanes is investigated by simultaneous measurements of Fourier-transform infrared spectroscopy (FTIR) and differential scanning calorimetry (DSC). The materials examined are a noncrystalline polyurethane hard segment, a crystallizable polyurethane hard segment, and a segmented polyurethane block copolymer containing crystallizable hard segments. Integrated absorbance data show that the hydrogen-bonding behavior is insensitive to crystalline transitions within the hard segment microdomains, but that it does reflect morphological transitions in the block copolymer that are associated with intersegmental mixing. In addition, the spectral data show conclusive evidence for reversal of the urethane reaction at high temperatures.
